1. Video Ownership Rights & Grant of License

By uploading videos and other content ("User Content") to EXCH4$, you grant EXCH4$ an exclusive, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, publicly display, perform, and otherwise exploit your User Content in any form, media, or technology now known or later developed, for any purpose, including but not limited to promotional, marketing, and monetization purposes, and any other commercial or non-commercial purpose related to EXCH4$’s operations.

• The right to use, modify, and edit your User Content, including the right to create derivative works based on your videos.
• The right to sublicense, distribute, and monetize your User Content by selling access to, or downloads of, your content to third parties.
• The right to display and promote your User Content on EXCH4$’s platform and any third-party platforms, websites, or channels where EXCH4$ chooses to distribute the content.

You acknowledge and agree that this license is exclusive to EXCH4$, meaning that you may not grant the same or similar rights to any other third party, including but not limited to other video platforms, for the duration of this license. This license is irrevocable, meaning that once you upload your User Content, you cannot withdraw or cancel the rights granted to EXCH4$. The license will remain in effect as long as the content is available on the platform, unless you delete your User Content from EXCH4$. However, EXCH4$ may continue to use the content for archival, legal, or business purposes even after you delete it from the platform.

2. Monetization

You authorize EXCH4$ to monetize your videos by selling access to or downloads of your content. You will receive a share of the revenue generated from the sale of your content, as detailed in our Revenue Sharing Policy. You acknowledge that EXCH4$ may modify its monetization strategies at any time and that updates to the policy will be communicated to you.

3. User Responsibilities

You are solely responsible for ensuring that the User Content you upload complies with EXCH4$’s Community Guidelines and does not infringe on the rights of third parties or violate applicable laws. You represent and warrant that:

• You own or have obtained all necessary rights, licenses, and permissions to upload and distribute your videos.
• Your User Content does not violate the intellectual property rights, privacy rights, or any other legal rights of others.

4. Revenue Sharing

Revenue generated from the sale of your videos will be shared according to the terms set forth in our Revenue Sharing Policy. This policy may be updated periodically, and you agree to abide by the most recent version. By continuing to use the platform, you consent to these updates.

5. Privacy

Your privacy is important to us. EXCH4$ will collect, store, and process your personal information in accordance with our Privacy Policy. By using the platform, you consent to the collection, use, and sharing of your data as outlined in the Privacy Policy.

6. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree not to share your login information with others and to immediately notify us if you suspect any unauthorized access to your account.

7. Termination

We reserve the right to suspend or terminate your access to EXCH4$ at any time and for any reason, including but not limited to violations of these Terms or our Community Guidelines. Termination may occur with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease, and you may lose access to your content and any related revenue.

8. Changes to Terms

EXCH4$ may update or modify these Terms of Service from time to time. Any changes will be communicated to you via email or through a notice on our platform. Your continued use of EXCH4$ after such changes constitutes your acceptance of the revised Terms.

9. Disclaimer of Warranties

EXCH4$ is provided "as is" and "as available," with no warranties of any kind, either express or implied. We do not warrant the platform will be uninterrupted, error-free, or secure. You use EXCH4$ at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, EXCH4$ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from:

• Your use or inability to use EXCH4$.
• Any content uploaded by you or other users of the platform.
• Unauthorized access, use, or alteration of your content or account.

11. Dispute Resolution and Arbitration

By using EXCH4$, you agree that any disputes, claims, or controversies arising out of or related to these Terms of Service, or your use of EXCH4$, will be resolved through binding arbitration, rather than in court, except as provided below.

The arbitration will be conducted in Georgia, in accordance with the rules of the Georgia Arbitration Act (O.C.G.A. § 9-9-1 et seq.). The arbitrator will be selected by mutual agreement between the parties, or if the parties cannot agree, by the administrator of the arbitration service chosen by EXCH4$.

Arbitration shall be conducted on an individual basis. You agree that arbitration shall not be part of any class action or collective action, and that you will not be a party to a class, consolidated, or representative action in any arbitration or judicial proceeding. Arbitration is intended to be a faster, more efficient process than court litigation.

Notwithstanding the above, you or EXCH4$ may still bring any claim that is within the jurisdiction of a small claims court in the applicable jurisdiction, and nothing in this agreement prevents you or EXCH4$ from doing so.

Any arbitration award will be final and binding on both parties, and may be entered as a judgment in any court of competent jurisdiction.

You may opt out of this arbitration agreement by providing written notice to EXCH4$ within 30 days of your first use of the platform. This opt-out will not affect any disputes that have already arisen.
